Sprowtt — Growing Business in America

Room · In-state sales

Rule 147A intrastate room

Offers may be seen out of state; sales may only be made to residents of the company's state. Sprowtt does not certify residency.

What this room does

  • The in-state legend on the room's notice
  • For a Florida Limited Offering (s. 517.0611), the company files Form FLO with the OFR, with a $200 fee, at least 10 days before the offering starts or is shown on an intermediary's website; a Limited Offering of $2.5 million or more must use a registered dealer or intermediary. For Invest Local (s. 517.0612), the company files Form OFR-FILE at least 5 business days before the offering starts; no intermediary is required.
  • Florida Invest Local and Limited Offering raises can be run on StateCF.com, not on this site

What it does not do

Sprowtt does not decide whether this exemption is available to the company, approve the offering materials, decide whether an investor is suitable, verify legal compliance, recommend the investment, negotiate the transaction, or guarantee an outcome. Completing a step in this room is not SEC approval of an offering, and is not a substitute for your own securities counsel.
