About Sprowtt

Sprowtt gives a company one secure workspace for its offering: a deal room it controls, access it grants and takes back, investor updates, Rule 506(c) accreditation records, and an activity log showing who saw what, and when. Securities counsel can review the file while the raise is live, not piece it together from email after it closes.
Sprowtt is built for operating companies, real estate and social-impact funds raising under Regulation D and Regulation A, and the law firms, incubators and accelerators that support them.
Sprowtt is software. It does not find, contact or recommend investors, give investment advice, hold investor money, or act as a broker-dealer, funding portal or transfer agent. The company and its counsel remain responsible for the offering.

- A SaaS application. No licence or registration is required to operate it, and none is claimed. Not a portal, not a broker-dealer, not an adviser.
- StateCF.com
- A separate service: a Florida OFR-registered intermediary for Chapter 517 intrastate offerings. Registration does not imply that such person has been sponsored, recommended, or approved by the state or an agency or officer of the state or by the United States or an agency or officer of the United States. Florida companies, Florida investors, its own disclosures.
- Sprowtt CF
- A separate affiliated service: a federally regulated funding portal and a FINRA member, for Regulation Crowdfunding. Its own terms and regulatory record.
- Capital Forge League
- A 501(c)(3) educational league. It hosts no securities offering and is not a fund. It stays on the other side of that wall deliberately.
