Where the experience comes from

Sprowtt's founder helped shape the JOBS Act's capital-formation rules alongside Congress and the SEC, and operated an SEC-registered, FINRA-member Regulation Crowdfunding portal. Registration does not imply that such person has been sponsored, recommended, or approved by the state or an agency or officer of the state or by the United States or an agency or officer of the United States.

Mark Jones has built capital-formation software for more than 15 years; Sprowtt has been rebuilt many times since its first site.

That history shapes the product. Where a rule decides whether an offering stays exempt, the software enforces it instead of leaving it to a checklist.

Rules set at the top, enforced by the software

  • A Rule 506(b) notice will not appear on a public page without the person's own invitation link
  • A Rule 506(b) invitation cannot be sent until the company records how it knows the person, and since when
  • A test-the-waters page takes indications only; nobody can be marked as subscribed or paid
  • A notice to investors is checked for guaranteed or risk-free claims, a regulator described as approving the offering, a specific percentage return, pressure language and comparisons to famous companies before it goes out
  • A counsel hold takes the website notice down until counsel clears it
  • An investor update goes only to people already in the company's own deal room, and an unsubscribe is honoured on every later one
  • Nothing is ever deleted. Records are only archived, kept in folders, and can be restored
  • The fee is a monthly subscription, never a percentage of the amount raised
